Résumé / Abstract

The Confederation Bridge was known by the name The Northumberland Strait Crossing Project (NSCP). In this paper, the name NSCP is used for convenience. The NSCP is a unique project in the manner it has been negotiated and the manner in which risk has been allocated between the public and private sectors. The NSCP is the first major infrastructure project undertaken by the government of Canada using a build, own, and transfer process. This process is often referred to as a public-private partnership or P3 process. The involvement of both federal and provincial governments created the need to deal with jurisdictional issues, both legal and political, in addition to the normal contract negotiating process. This paper provides an overview of the project structure that was proposed, negotiated, and reconfigured to meet the requirements of all levels of government, the private sector, the capital markets, insurers, and sureties providing security for various project risks. Specifically, the process risk, government action, financing issues, and contractual risk will be analyzed and the risk transfer and risk management techniques will be described. The NSCP and the process to achieve financial and contractual closing should not be followed as a model of efficiency but does warrant careful consideration for its very unique project structure and the allocation of risk between the public and private sectors.
